Terms of Use

By enabling, deploying, or using [Agent Name] (the “Agent”), a Microsoft 365 Copilot agent published by Netsmartz (“Netsmartz,” “we,” “us”), you (“Customer,” “you”) agree to these Terms of Use. If you do not agree, do not enable or use the Agent.

The Agent is a declarative agent for Microsoft 365 Copilot. [Describe the agent’s scope in one or two sentences — e.g. “NTZ Legal Copilot assists with drafting and reviewing contracts and related legal-operations tasks.”] The Agent operates within your Microsoft 365 tenant and grounds its responses in content the signed-in user is already permitted to access (such as SharePoint and OneDrive documents, templates, and playbook material). The Agent produces drafts and analysis only; it does not execute transactions or write to your systems of record.

Subject to these Terms, Netsmartz grants you a limited, non-exclusive, non-transferable, revocable license to use the Agent for your internal business purposes, in accordance with your applicable Microsoft 365 and Microsoft 365 Copilot subscriptions and licensing. You may not resell, sublicense, reverse-engineer, or use the Agent to build a competing product.

The Agent provides drafting and informational assistance only. Its outputs do not constitute, and must not be relied upon as, binding legal, HR, financial, tax, or other professional advice. All outputs should be reviewed and approved by appropriately qualified personnel (including legal counsel where relevant) before they are executed, published, or relied upon. You are solely responsible for any decision made using the Agent’s outputs.

You agree not to: (a) use the Agent for any unlawful purpose; (b) attempt to bypass, disable, or manipulate the Agent’s guardrails, scope restrictions, or security controls (including prompt-injection or “jailbreak” attempts); (c) input content you are not authorised to use; or (d) treat the Agent’s output as a final work product without human review. You are responsible for verifying the accuracy and suitability of all outputs.

The Agent processes only the signed-in user’s Microsoft 365 content within your tenant. Your data is not transmitted outside your Microsoft 365 environment by the Agent, is not stored by Netsmartz outside your tenant, and is not used to train artificial-intelligence models. The Agent respects your existing Microsoft 365 access permissions, Data Loss Prevention (DLP) policies, sensitivity labels, and conditional-access controls. Processing of personal data is described in the [Netsmartz Privacy Policy], which forms part of these Terms.

You are responsible for: maintaining appropriate templates, playbook, and policy content for the Agent to ground on; ensuring repositories used by the Agent do not contain records that should be excluded (for example, where applicable, employee records, payroll, medical, or other sensitive data); holding the necessary Microsoft licensing; and ensuring outputs receive appropriate human review before use.

Netsmartz retains all rights, title, and interest in and to the Agent, including its instructions, configuration, and underlying materials. You retain all rights to your own content and to the documents the Agent generates from your inputs, subject to these Terms and applicable Microsoft terms.

The Agent is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including any warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement. AI-generated outputs may contain errors or omissions; Netsmartz does not warrant that outputs are accurate, complete, or suitable for any particular use.

To the maximum extent permitted by law, Netsmartz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or relating to the use of the Agent. Netsmartz’s total aggregate liability under these Terms shall not exceed [the amount paid by Customer for the Agent in the [12] months preceding the claim / the cap your counsel specifies].

You agree to indemnify and hold Netsmartz harmless from claims arising out of your misuse of the Agent, your breach of these Terms, or your use of outputs without the human review required by Section 4.

The Agent runs on Microsoft 365 Copilot and depends on Microsoft’s platform and services, which are governed by Microsoft’s own terms. Netsmartz is not responsible for the availability, performance, or terms of the underlying Microsoft platform.

Netsmartz may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page. Continued use of the Agent after changes take effect constitutes acceptance.

These Terms apply for as long as you use the Agent. Netsmartz may suspend or terminate access for breach of these Terms. Sections that by their nature should survive termination (including Sections 4, 8, 9, 10, and 11) will survive.
